Notification of transactions of directors, persons discharging managerial responsibility or connected persons in accordance with DTR 3.1
On 30 October 2014, the Directors and Persons Discharging Managerial Responsibility (PDMR) listed below were granted share options (Options) over ordinary shares of 100 pence each in the capital of the Company (Shares) or conditional rights to receive Shares (Conditional Awards) under the Company's Long Term Incentive Plan (the Plan) each in respect of the total number of Shares as set out below. A summary of the terms of the Options and Conditional Awards to be granted under the Plan was included in the Company's IPO Prospectus issued on 17 October 2014.
There were two types of awards granted on 30 October 2014 under the Plan: JC PLC Share Awards (where the awards were calculated by reference to the value attributed to the proportion of previously held phantom options waived by each relevant person before the IPO and which vest between July 2016 and July 2018 following the vesting schedule for those phantom options) and One-Off Share Awards (which vest between October 2018 and October 2020). The number of Shares under each type of award is also set out below. The terms of vesting for these awards were described on pages 175 and 176 of the Company's IPO Prospectus. No consideration is payable for the grant of an Option or Conditional Award under the Plan.
