Charles Stanley Group PLC27 March 2006 The following announcement replaces the Conversion of Securities announcementreleased at 12.49pm on 27th March 2006 under RNS Number 4422A. The full amended text appears below "The Directors of Charles Stanley Group Plc (the "Company") announce that theyhave received notice of a conversion in respect of convertible loan notes (the" Notes") of £257,134. The Notes were issued on 26th November 2004 as part ofthe consideration for the acquisition of the issued share capital of SutherlandsGroup Ltd, as per the announcement dated 26th November 2004. The conversionprice of the Notes was 248.7p per share and so the Company will issue andallot 103,393 new ordinary shares on 3rd April 2006 , conditional uponadmission to the Official List of the UK Listing Authority. Accordingly, application has been made to the UK Listing Authority for these newordinary shares to be admitted to the Official List and to the London StockExchange for trading. The new ordinary shares rank pari passu with the existingissued shares of the Company and admission and dealings are expected tocommence on 3rd April 2006.
