DIRECTOR SHAREHOLDING

The Company has been notified of the following transactions in its ordinary shares of 1 pence each ("Shares") by Directors of the Company.

On 16 August 2017 share awards that were made on 16 August 2013 under the Company's 2008 Long Term Incentive Plan ("LTIP") became available to exercise after the performance conditions had been satisfied and following the conclusion of a one year holding period. The total number of options exercised by Directors of the Company under the LTIP is shown in the table below:

For all of the transactions in the above tables the options were exercised on 16 August 2017 at nil cost. The sale of Shares took place on 17 August 2017 at an average price of 54.62 pence per share in order to satisfy the tax liability crystallising as a result of exercise of the options.

Following the above transactions, the total beneficial shareholdings of the Directors in the Company are as follows:
