Bank Pekao SA26 July 2007 UNOFFICIAL TRANSLATION (25th July, 2007) Report 92/2007: Appointment of members of the Supervisory Board of Bank PekaoS.A. and election of Deputy Chairman of the Supervisory Board. The Management Board of Bank Polska Kasa Opieki S.A. informs that theExtraordinary General Meeting of Bank Pekao S.A. held on 25th July 2007appointed Messrs. Federico Ghizzoni and Krzysztof Pawlowski as members of theSupervisory Board of Bank Pekao S.A. for the current common term of office ofthe Supervisory Board. The Supervisory Board of Bank Pekao S.A. during today's meeting appointed Mr.Federico Ghizzoni to the position of Deputy Chairman of the Supervisory Board. As of 25th July 2007 the composition of the Supervisory Board is the following: Jerzy Woznicki - Chairman of the Supervisory Board, Paolo Fiorentino - Deputy Chairman, Secretary of the Supervisory Board, Federico Ghizzoni - Deputy Chairman of the Supervisory Board, Pawel Dangel - Member of the Supervisory Board, Fausto Galmarini - Member of the Supervisory Board, Oliver Greene - Member of the Supervisory Board, Enrico Pavoni - Member of the Supervisory Board, Leszek Pawlowicz - Member of the Supervisory Board, Krzysztof Pawlowski - Member of the Supervisory Board. CV of Federico Ghizzoni Born on 14th October 1955 in Piacenza (Italy). Deputy Chairman of the Supervisory Board of Bank Pekao S.A. He holds a Degree in Law from the University of Law in Parma. Professional career: He started his career in 1980 as customer relations manager at UniCredit'sPiacenza Branch. Having worked as the Head of Credit & Marketing Department atthe Piacenza Branch, Ghizzoni undertook the Branch Director position in Triestebetween 1988 and 1989. Continuing his career as Director of Seriate Branchbetween 1990 and 1992, Ghizzoni was appointed as the Deputy General Manager toUniCredit's London Office. After having been appointed the UniCredit's Singapore Office General Manager in1995, Ghizzoni became Executive Director responsible for Corporate andInternational Banking between 2000 and 2002 at Bank Pekao S.A. In 2003 hestarted to work at Koc Financial Services, 50-50 joint venture of Koc Holdingand UniCredit Group. Being Executive Board Member of Koc Financial Services and all its affiliates,Ghizzoni has also been serving in the upper management, responsible of auditing,risk management, planning and control. After the acquisition by Koc FinancialServices of Yapi ve Kredi Bankasi and its affiliates he became the COO &Executive Board Member of Koc Financial Services and COO & Vice Chairman of Yapive Kredi Bankasi. Since April 2007 he has been First Deputy of the Chairman of the SupervisoryBoard of Bank BPH S.A. Currently he is Head of Poland's Markets Division of UniCredit Group. The activity of Mr. Federico Ghizzoni is not competitive in relation to BankPekao SA activity. Mr. Federico Ghizzoni is not recorded in Insolvent Debtors Register kept inaccordance with the Domestic Court Register Act. CV of Krzysztof Pawlowski Born on 26th June 1946 in Nowy Sacz Member of the Supervisory Board of Bank Pekao S.A. He graduated in Physics from Department of Maths, Physics and Chemistry ofJagiellonian University in 1969 and obtained the PH.D. in Physics of AcademyMettalurgy and Mining in Krakow in 1975. He is doctor honoris causa of NationalLouis University in Chicago. He is the author of over 40 publications in terms structural graphite researchand technology of production of carbon and graphite materials. He is also theauthor of many scientific publications, reports and press articles on highereducation institutions management and transformation of educational system inPoland. Professional career: In 1969-1989 he worked in Graphite Research Laboratory in Carbon ElectrodeCompany in Nowy Sacz and in 1985-1989 he performed the duties of director ofthis laboratory. In 1980 he was co-founder, and in 1980-1987 the president ofCatholic Intelligentsia Club in Nowy Sacz. In 1989-1993 he was member of Senateof Poland Republic of I and II term of office. In 1991-1993 he performed theduties of chairman of the Senate Commission for European Integration. He wasfounder and president of Podhale Chamber of Commerce established in 1990. He is founder (1991) and from 1992 rector of Nowy Sacz School of Business -National Louis University, and from 1996 founder and rector of Tarnow School ofBusiness. He is co-founder of Business Centre Club, and from 1993 member of Board of thePolish Chamber of Commerce. In 1994 he became co-founder and chairman ofMalopolska Economic Forum uniting the representatives of local and commerceautonomies and business environment of Malopolska Region. In 1995-1998,2002-2006 he was Member of Polish Academic Economic Forum. From 1997 till 1999he was member of Team for Higher Education Legislature. From November 1997 till2000 he performed the duties of president of the Conference of Rectors ofNon-State Universities. In 1998-1999 he was member of the Board of StructuralReform of the State appointed by the Prime Minister and chairman of the Team forTechnical Education in this Board. From September 1999 he is Member of the Boardof Directors of Polish-American Freedom Foundation and in the period of1999-2000 member of National Committee for European Integration. In 1996r. he was awarded with Chivalry Cross of Polish Revival Order and theMedal of National Education. He was awarded with many prestigious awards andhonours including "Entrepreneur of Year 2003" from Ernst&Young. The activity of Mr. Krzysztof Pawlowski is not competitive in relation to BankPekao S.A. activity. Mr. Krzysztof Pawlowski is not recorded in Insolvent Debtors Register kept inaccordance with the Domestic Court Register Act.
