Bank Pekao SA04 October 2007 UNOFFICIAL TRANSLATION The consent of Banking Supervisory Commission Management Board of Bank Polska Kasa Opieki S.A. informs that it has becomeinformed on adopting resolution on 3rd of October 2007 by the BankingSupervisory Commission ("KNB") on consent to implement the Spin-off of Bank BPHS.A. ("BPH") by virtue of Section. 529 subsection 1 clause 4 of the CommercialCompanies Code, i.e. by the transfer of a part of BPH's property in a form of the organized part of enterprise to the Bank in return for shares in theBank, which will be taken up by the shareholders of BPH. The resolution adoptedby KNB caused that one of the key conditions for BPH Spin-off execution has beenfulfilled.
