Bank Pekao SA14 November 2007 UNOFFICIAL TRANSLATION (14th November, 2007) Report 110/2007: Changes in the composition of the Management Board of BankPekao S.A. The Supervisory Board of Bank Polska Kasa Opieki S.A. on the meeting held on14th November 2007 appointed Messrs. Przemyslaw Gdanski, Katarzyna Niezgoda andGrzegorz Piwowar as Vice Presidents of the Management Board as of the day ofentering into register of entrepreneurs of Domestic Court Register the divisionof Bank BPH S.A. by spin-off and increasing the statutory capital of the Bankthrough issue of the Series I Bank's shares i.e. as of Spin-Off Day in themeaning of art. 530 (S) 2 of Code of Commercial Companies provided that notlater that on that day their mandates in the Management Board of Bank BPH S.A.expire. During the same meeting the Supervisory Board entrusted as of Spin-Off Day Mr.Luigi Lovaglio, Vice President of the Management Board, General Manager withduties of First Vice President of the Management Board, General Manager andMessrs. Paolo Iannone, Christopher Kosmider and Marian Wazynski, Members of theManagement Board with duties of Vice Presidents of the Management Board,expressing in this way the recognition to their experience and professionalskills as well as contribution of work for the Bank and taking into account thenew challenges for the Bank related to its merger with separated part of BankBPH S.A. and increasing the scale of activity of Bank Pekao S.A. As a result, on the Spin-Off Day the composition of the Management Board of BankPekao S.A. will be as follows: Jan Krzysztof Bielecki - President of the Management Board, CEO, Luigi Lovaglio - First Vice President of the Management Board, General Manager, Przemyslaw Gdanski - Vice President of the Management Board, Paolo Iannone - Vice President of the Management Board, Christopher Kosmider - Vice President of the Management Board, Katarzyna Niezgoda - Vice President of the Management Board, Grzegorz Piwowar - Vice President of the Management Board, Marian Wazynski - Vice President of the Management Board. CVs of newly elected Vice Presidents of the Management Board Przemyslaw Gdanski Born on 5 January 1967 Vice President of the Management Board He graduated from the University of Gdansk (Faculty of International Trade) andLoughborough University (one-year course in banking and international finance). Professional career: In 1991 started his banking career at Solidarnosc Chase D.T. Bank. At the sametime he held a teaching post at the Gdansk University. Since 1993, he worked incorporate banking at various managerial posts: IBP Bank S.A. (1993 - 1995), in1995 moved with ABN AMRO Bank (Polska). In 1998 - 2001, seconded to ABN AMROBank (Romania) to head corporate banking, structured finance and transactionalbanking. In 2001 moved to ABN AMRO Head Office in Amsterdam, where he was incharge of the global customer portfolio. From 2002 until end of April 2006, heheld a post of Managing Director in charge of Large Corporates Division of BankBPH S.A. and a member of the Corporate Credit Committee. From May till November2006, he was Chief Executive Officer and General Director of Calyon Bank Polskaand Calyon Polish Branch. In December 2006 he was appointed Vice President ofthe Bank BPH S.A. Management Board responsible for corporate banking and realestate area. Positions held in governing bodies of companies and other organisations: He is Vice Chairman of the Supervisory Boards of BPH Bank Hipoteczny S.A., BPHPBK Leasing S.A., BPH Leasing S.A. and BPH Auto Finanse S.A. The activity of Mr. Przemyslaw Gdanski, after expiry of his mandate of VicePresident and Member of the Management Board of Bank BPH S.A., will be notcompetitive in relation to Bank Pekao S.A. activity. Mr. Przemyslaw Gdanski is not recorded in Insolvent Debtors Register kept inaccordance with the Domestic Court Register Act. Katarzyna Niezgoda Born on 28 December 1969 Vice President of the Management Board She graduated from Faculty of Law at Warsaw University. Professional career: She embarked on her professional career in 1992 at a lawyer's office. Between1994 and 1997 she worked in the Personnel Department of Johnson & Johnson inPoland. In 1997-2001 she was Human Resources Division Director and a Member ofthe Management Board of Nestle Polska. In June 2001 she became a Member of theManagement Board of Bank BPH S.A. At Bank BPH S.A. she is Management BoardMember in charge of the Human Resources Division. On 16 August 2004 she wasappointed Vice President of the Management Board of Bank BPH S.A. The activity of Ms. Katarzyna Niezgoda, after expiry of her mandate of VicePresident and Member of the Management Board of Bank BPH S.A., will be notcompetitive in relation to Bank Pekao SA activity. Ms. Katarzyna Niezgoda is not recorded in Insolvent Debtors Register kept inaccordance with the Domestic Court Register Act. Grzegorz Piwowar Born on 10 November 1963 Vice President of the Management Board In 1987 he received a title of master engineer of electronics at AGH Universityof Science and Technology in Cracow (AGH). He completed postgraduate educationtraining in banking at the University of Economics in Cracow. Professional career: In 1987 he became a lecturer in the Institute of Electronics of AGH. After fiveyears he embarked on his professional career at Bank BPH S.A. firstly as abranch employee. In 1996-2000 he was Head of Brokerage Office and then for twoyears Head of the Core South Region of Retail Banking. In 2002 he was appointedManaging Director responsible for Distribution and Sales Area in Bank BPH S.A.Retail Division. In October 2006 he was designated Member of the ManagementBoard of Bank BPH S.A. responsible for retail area. Positions held in governing bodies of companies and other organisations: He is a Chairman of Supervisory Board of BPH Bank Hipoteczny S.A. and CentrumBankowosci Bezposredniej Sp. z o.o. He is also the member of the supervisoryboards of Bank BPH S.A. subsidiaries: BPH Auto Finanse S.A., BPH Leasing S.A,BPH PBK Leasing S.A. The activity of Mr. Grzegorz Piwowar, after expiry of his mandate of Member ofthe Management Board of Bank BPH S.A., will be not competitive in relation toBank Pekao S.A. activity. Mr. Grzegorz Piwowar is not recorded in Insolvent Debtors Register kept inaccordance with the Domestic Court Register Act.
