("the Company")
Share Matching Plan - Purchase and vesting of shares
The Company was informed on 6 March 2015 that the Trustees of the British Polythene Industries Employee Share Ownership Trust ("ESOT") had acquired 450,848 ordinary shares of 25p each in the Company ("shares") at £7.0575 per share. The total shares acquired represent 1.66% of the Company's share capital and were acquired for use under the Company's Share Matching Plan.
On 6 March 2015, 841,640 shares, which had prior to then been held in the British Polythene Industries Employee Share Ownership Trust ("ESOT"), vested in employees under the Company's Share Matching Plan.
Following the above detailed transactions, the ESOT is registered and beneficial owner of 718,950 shares representing approximately 2.65% of the total voting rights and share capital of the Company.
The ESOT is also registered owner of a further 32,441 shares as nominee for participants in the Share Matching Plan, representing approximately 0.12% of the total voting rights and share capital of the Company.
John Langlands and David Harris as executive directors of the Company and David Duthie, Andrew Green, Michael Huyghe and David Pendlebury as other Persons Discharging Managerial Responsibilities, are beneficiaries of the Share Matching Plan and as such may have an interest in the shares for the purposes of Disclosure and Transparency Rule 3.1.
