F&C Private Equity Trust PLC08 June 2006 8 June 2006 F & C PRIVATE EQUITY TRUST PLC Third Conversion of 'C' Shares The third conversion of 'C' shares into 'B' shares is by reference to 30 April2006. The conversion ratio of 0.69098890 was announced on 2 June 2006. Therecord date for the third conversion was the close of business today (8 June2006). The Company is now pleased to announce that, with immediate effect,12,600,289 'C' shares have been converted into 8,706,659 'B' shares. Following the third conversion, 67,397,005 'B' shares and 8,453,790 'C' sharesare now in issue. The number of 'A' shares in issue (being 67,084,807) remainsunchanged. Applications have been made to the Financial Services Authority for the8,706,659 'B' shares arising on the third conversion to be admitted to theOfficial List and to the London Stock Exchange for such shares to be admitted toits main market. Such admissions are expected to become effective, and dealingsin the 'B' shares arising on the third conversion are expected to commence onthe London Stock Exchange's main market, tomorrow (9 June 2006). The 'C' shares remaining in issue have been allocated a new ISIN (GB00B15C4726)and a new SEDOL (B15C472). Holders of 'C' shares in uncertificated form will receive their new 'B' sharesin uncertificated form and their accounts in CREST (being the same accounts inwhich they hold their 'C' shares) will be credited on 9 June 2006 with thenumbers of 'B' shares arising on the third conversion and 'C' shares (with thenew ISIN) held in uncertificated form immediately following the third conversion(and the 'C' shares with the former ISIN and SEDOL of GB00B0Z6QN74 and B0Z6QN7will be cancelled). Holders of 'C' shares in certificated form will receive certificates in respectof the 'B' shares arising on the third conversion and the balance of theirholding of 'C' shares immediately following the third conversion, which will beposted by 16 June 2006. Existing 'C' share certificate(s) will be of no furthervalue.
