Process for future Board Changes and selection of Chairman

The Board of Swallowfield plc ('the Company') announce the steps they intend to take following the result of the vote at the EGM held on 11 April at which Mrs Shena Winning was removed as a director.

The Board has asked Martin Hagen, Franklin Berrebi and Ian Mackinnon to act as the nominations committee to identify and recommend two further candidates to the Board for appointment as directors of the Company. The Board confirms that major shareholders will have the opportunity to meet with any proposed candidate before they are appointed to the Board.

Shareholders are aware that Union Discount Company of London Limited (representing the interests of Mr Peter Gyllenhammar) has previously proposed to the Board that Mr Stephen Boyd be appointed a director of the Company and the Board expects that Mr Boyd will be candidate for one of the two positions. At the time it received the proposal from Mr Gyllenhammar, the Board received a letter from Mr Boyd expressing his willingness to act as a Director of the Company.

Following the appointment of the two new directors, the Board will appoint a chairman of the board having appropriately consulted with major shareholders.

The Board hopes that, following the completion of the steps outlined above the newly constituted board will be given a reasonable period of time to deliver the stability that the Company now needs.

The Board will provide a further update to shareholders in due course.
