NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Mr. David Tonkin, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 14 March 2013, that on 12 and 13 March 2013 in London he acquired and then sold 15,618 and 14,124 ordinary shares of 0.5 pence each in the Company respectively following the exercise of nil cost options awarded under the Atkins Deferred Share Plan, the Atkins Deferred Bonus Plan and the Atkins Long Term Incentive Plan. The share prices at which Mr. Tonkin exercised and sold his shares were £9.100471 and £9.136460 per ordinary share respectively. The acquisition of 29,742 ordinary shares equated to 0.0297% of the voting issued share capital.
Mr. Tonkin's total interest in shares following this notification remains at zero.
