NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Prof. Dr. Uwe Krueger, a director and person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 29 August 2014 that on 22 August 2014 in London he purchased 349 ordinary shares of 0.5 pence each in the Company at £13.72259 per share following the reinvestment of dividends. The shares are held by Prof. Dr. Krueger via a nominee account. This purchase equated to 0.0003% of the voting issued share capital.

Prof. Dr. Krueger's total interests in shares following these notifications is 21,582 ordinary shares, representing 0.02% of the voting issued share capital of WS Atkins plc.
