NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Prof. Dr. Uwe Krueger, a director and person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 26 August 2015 that, on 21 August 2015 in London, 1,014 ordinary shares in the Company of 0.5 pence each were purchased on his behalf. The share price at which the shares were purchased was £14.71385 per share. The shares were purchased following the reinvestment of dividends paid on shares held by Prof. Dr. Krueger via a nominee account.
This share purchase, which was in accordance with a standing mandate to participate in the Company's dividend reinvestment plan, equated to 0.001% of the voting issued share capital and these shares will also be held in the nominee account on Prof. Dr. Krueger's behalf.
Prof. Dr. Krueger's total interest in shares following this notification is 60,692 ordinary shares, representing 0.061% of the voting issued share capital of WS Atkins plc.
This notice is given in fulfillment of the obligations under DTR 3.1.4R (1).
