Notification of transactions of directors, persons discharging managerial responsibility or connected persons
In accordance with Disclosure and Transparency Rule 3.1.4R(1), WS Atkins plc (the "Company") announces that it granted rights to acquire its ordinary shares of 0.5 pence each on 20 June 2011 pursuant to the terms of the Atkins Long Term Incentive Plan ("LTIP") to the following directors, as set out below:

The Company also announces that it granted rights to acquire its ordinary shares of 0.5 pence each on 20 June 2011 pursuant to the terms of the Atkins Deferred Share Plan ("DSP") to the following directors and persons discharging managerial responsibilities, as set out below:
