Mr. Neil Thomas,a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 9 April 2013, that on that day in London he sold 3,206 ordinary shares of 0.5Β pence each in the Company at a price of Β£8.78 per ordinary share. The sale of 3,206 ordinary shares equated to 0.003% of the voting issued share capital.

Following this notification Mr. Thomas has no interest in the voting issued share capital of WS Atkins plc.
