NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

Mr. Richard Barrett, a person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 25 June 2013, that on 24 June 2013 in London he acquired and then sold 15,114 ordinary shares of 0.5 pence each in the Company following the exercise of nil cost options made under the Atkins Deferred Share Plan and the Atkins Long Term Incentive Plan. The share price at which Mr. Barrett exercised and sold his shares was £9.711005 per ordinary share. The acquisition of 15,114 shares equated to 0.015% of the voting issued share capital.

Mr. Barrett's total interest in shares following this notification is 10,200 which equates to 0.010% of the voting issued share capital.
