NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS
Mr. Alun Hughes Griffiths, a director and person discharging managerial responsibilities of WS Atkins plc (the "Company"), notified the Company on 4 October 2011 that on 3 October 2011 in London he purchased 1,109 ordinary shares of 0.5 pence each in the Company at £5.414598 per share pursuant to the Company's Dividend Reinvestment Plan. This equated to 0.0011% of the voting issued share capital.
Mr. Griffiths also notified the Company on 4 October 2011 that on 30 September 2011 in London he purchased 185 ordinary shares of 0.5 pence each in the Company at £5.43 per share following the reinvestment of dividends for shares held in an ISA. This equated to 0.00018% of the voting issued share capital.
Mr. Griffiths further notified the Company on 4 October 2011 that on that day in London his wife, Mrs. Mary Griffiths, purchased 17 ordinary shares of 0.5 pence each in the Company at £5.414598 per share pursuant to the Company's Dividend Reinvestment Plan. This equated to 0.00002% of the voting issued share capital.
Mr. Griffiths' total interest in shares following these notifications is 46,624 ordinary shares, representing 0.0466% of the voting issued share capital of WS Atkins plc.
