On 13 November 2017 the Board of Directors of Aldermore published a scheme document setting out the terms of the proposed acquisition of Aldermore by FirstRand Offeror pursuant to a scheme of arrangement under Part 26 of the Companies Act 2006 ("Scheme Document"). Defined terms in this announcement, except where defined in this announcement or the context requires otherwise, have the meanings given to them in the Scheme Document.

Aldermore and FirstRand Offeror confirm that they have entered into a deed of amendment dated 14 November 2017 ("Deed of Amendment") to effect minor amendments to the cooperation agreement dated 6 November 2017 between Aldermore and FirstRand Offeror. As a result of the amendments, the deadline by which FirstRand Offeror is required to make the necessary regulatory filings in relation to the Transaction has been extended from 13 November 2017 to (i) 15 November 2017 in the case of filings with the South African Registrar of Banks; and (ii) 20 November in the case of filings with the UK Prudential Regulation Authority and UK Financial Conduct Authority.
