Akers Biosciences, Inc. (NASDAQ: AKER) (AIM: AKR.L), ("Akers Bio" or the "Company"), a developer of rapid health information technologies, announces the pricing of an underwritten public offering with expected total gross proceeds of approximately $6,000,000, before deducting underwriting discounts, commissions and other offering expenses payable by the Company (the "Offering").

The securities offered by the Company consist of (i) Class A Units consisting of 15,500,000 shares of Common Stock and Warrants to purchase 15,500,000 shares of Common Stock, at a public offering price of $0.15 per Class A Unit, and (ii) Class B Units consisting of 3,675 shares of our Series B Convertible Preferred Stock, with a stated value of $1,000, and convertible into an aggregate of 24,500,000 shares of Common Stock, and Warrants to purchase 24,500,000 shares of Common Stock, at public offering price of $1,000 per Class B Unit. All the Warrants will have an exercise price of $0.1875, will be exercisable upon issuance and will expire five years from the date of issuance. The Company has granted the underwriters a 45-day option to purchase additional shares of Common Stock and additional Warrants to purchase shares of Common Stock, in amounts up to 15% of the Common Stock, Warrants, and Common Stock issuable upon conversion of the Series B Preferred included in the Class B Units sold in the Offering.

The Offering is expected to close on December 21, 2017, subject to satisfaction of customary closing conditions.

The funds raised will be used for working capital, product development, marketing activities, expanding the Company's internal sales organization and further developing sales channels and other capital expenditures.

The Securities and Exchange Commission declared effective a registration statement on Form S-1 relating to these securities on December 18, 2017. The Company will apply for admission of the 15,500,000 common shares to AIM and this is expected to take place on December 22, 2017 ("Admission"). Following Admission, the Company's issued share capital will consist of 25,420,551 common shares with no common shares held in treasury. Therefore, the above figure of 25,420,551 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.

Joseph Gunnar & Co., LLC is acting as sole book-running manager for the offering.
