Afren plc proposes to offer senior secured notes

London, November 18, 2013 - Afren plc ("Afren" or the "Company"), today announces that it proposes to pursue an offering of Senior Secured Notes (the "Notes").

The Notes will be senior secured obligations of Afren plc and will be guaranteed on a senior basis by certain subsidiaries of Afren plc and on a senior subordinated basis by Afren Resources Limited. Interest will be payable semi annually. The interest rate, offering price and other terms will be determined at the time of pricing of the offering, subject to market conditions.

Afren plc intends to use the gross proceeds of the offering (i) to purchase any and all of our outstanding senior secured notes due 2016 and up to $100 million of our outstanding senior secured notes due 2019 pursuant to the concurrent tender offers announced on November 12, 2013 and subject to the satisfaction or waiver of certain conditions precedent including the completion of the offering of the Notes, (ii) to pay fees and expenses incurred in connection with the offering of the Notes and the concurrent tender offers and (iii) for other general corporate purposes.
