Block Listing Application to AIM

As announced previously, the scheme of arrangement to implement the acquisition of Alpha FMC (AIM: AFM) by Actium Bidco (UK) Limited, an indirect subsidiary of certain funds managed by Bridgepoint Advisers Limited, ("Scheme") was approved by Alpha FMC shareholders at the Court Meeting and General Meeting held today, and is anticipated to become effective on 19 August 2024. Capitalised terms used but not otherwise defined in this announcement shall have the meaning given to them in the Scheme Document.

Alpha FMC announces that an application has been made to AIM for a block listing of 1,929,934 new ordinary shares of 0.075p each in Alpha FMC ("New Ordinary Shares") for the purposes of satisfying the potential vesting or exercise of awards over up to a maximum of 1,929,934 shares granted pursuant to certain Alpha FMC employee share plans which will vest or become exercisable (as relevant) upon the sanction of the Scheme by the Court.

New Ordinary Shares issued following the vesting of awards or option exercises and admitted to trading under the block admission will rank pari passu in all respects with the existing ordinary shares in Alpha FMC.

Admission of the block listing is expected to take place on 13 August 2024.
