4,294,065 ordinary shares of £0.10 (constituting 9.9% of the Offeree's issued share capital as at 22 January 2021) owned by Alan Hudson (CEO of the Offeree) are the subject of a cash sale agreement between the Offeror and Alan Hudson, pursuant to which the Offeror will acquire such shares on the Effective Date (as defined in the scheme document relating to the Offeror's recommended cash offer for AFH Financial Group Plc).
