As per the Issuer: Pursuant to the plan of arrangement under the Business Corporations Act (British Columbia), holders of common shares of Falcon Oil &, Gas Ltd., excluding Falcon Shares beneficially owned by Lamesa Holding S.A. (Sanctioned Holders), are entitled to receive 0.00687 common shares of Tamboran Resources Corporation for each one (1) Falcon Share held.

The terms of the offer are as follows:

Option 1: Take no action (SANCTIONED HOLDERS)

Option 2: Tender shares for stock (NON-SANCTIONED HOLDERS): receive 0.00687 shares of TAMBORAN RESOURCES CORPORATION per share tendered and accepted

Dissenting shareholders and holders of Falcon Shares beneficially owned by Lamesa are not entitled to receive the Share Consideration and should elect Option 1 (Take no action). I ask myself about the rason for that Lamesa move. Maybe based on current geopolitical situation, with oil prices rising and Trump sanctions on Russia removed, Viktor thinks he can have his assets unfrozen and gain FOG control.

And if the reason were that, what would be his next move, or plan?. Clearly POQ does not make sense any longer, so he should be replaced the soonest.

The recent FOG price rally was caused by the merger, so in case it were spoiled, should we expect price to plummet?.

And what are Viktor plans for FOG, find a big asian buyer and sell the company for a higher price than current valuation, profiting from the current Gulf crisis?. Or reform FOG structure to go to the gas commercialization stage, like a kind of Tamboran but smaller?. The latter does not make much sense to me.

Are we in better hands with a Russian oligarch controling FOG or with Tamboran?.

I cross my fingers and hope soon we will be part of a bigger Tamboran.

Have you considered that if the merger finally happens, quite likely insted of receiving a single payment for our shares, we could be receiving periodic payments in the form of dividends or whatever as shareholders of a gas producing company, in an inflactionary economic environment where fiat currencies are severely punished against real money like gold or silver?.

I bought my fist FOG shares in 2007.

Honestly, I dont understand why some FOG shareholders complain about the deal. The way I see it, FOG is a zombi and Tamboran is a very active company with a bright future. And probably that is the primary reason why TBN SP has risen much more than FOGs in recent days, not the terms of the agreement.

I really cross my fingers and hope that nobody, neither from FOG or Tamboran, will spoil the deal which in my understanding states a ratio of shares to exchange for common shareholders, not specific values in currency. Something I consider a smart move, since though Tamboran SP could spike, that would be quite unlikely for FOG SP.

I ask myself specially two questions about the deal:

-If the deal can be cancellled before de date it takes effect, based on other more convenient offers.

-And if the resulting company will experience a rise in the SP similar to what we were expecting from FOG.

The latter is more important, since I see potential for the Tamboran SP to fly, which means our pokets would be rewarded irrespective of the name of the company we hold.

I think big player want something more solid to invest big money. They require certainty rather than a bargain with an uncertain reward.

But dont worry. If events evolve in the correct way, they will enter the game sooner or later, and in a massive game changer way.

Surprised to read the names of some Japanese companies instead of Chinese ones. I thought that a large Chinese company would be our eventual buyer, but seems that Japanese are very much involved in the development of our Betaloo. They are very proactive and smart people. You never know.

I have posted on this board just a few times primarily to demand more implication from POQ, especially in regards to promotional activities.

But after the numerous times that somebody has botched up what seemed to be a drilling achieving good result for sure, I am much more cautious, since I understand that unmet expectations are very detrimental for our bird.

I really hope/wish this time will be different.

Most of the times the simplest explanation is the one closest to the truth .

I dont think the real cause of the low SP is anything too convoluted, lack of plans or a satanic plot against LTH.

If you check the trading volume you will realize that we are virtually non existing, we have disappeared from all radars. In my view that is a direct consequence of the lack of promotion. During the long years of ordeal, I recall having read more than once that it was not the correct moment for promoting Falcon since the SP was so low that any shark could make a low bid and get the control of the company. Thus, I think based on that idea, POQ got too much used to playing golf and waiting. I have written many times that I really miss the promotion especially in Asia, in the hope that if many of us complain about that, something would be done.

Seems that POQ has finally decided to move and shake the tree. So he has a plan to promote this company, which includes:

-A name change to associate it with the Beetaloo. Though some see that as costly and non effective, to me sounds good, since the word Beetaloo will be associated more a more with the ideas "same as Marcellus" “huge reserves", etc. From the SP drift and the low volume you can understand that the name Falcon currently is worthless.

-A reverse split targeting institutional investors. That also sounds really good to me. I know that many reverses end very badly, but that usually happens when the company has no real value. During the covid plandemy I was unlucky to invest in a pharma company which was not able to produce any patent. They made a reverse when the SP was too low and after that it continued drifting down. But i think that will not be our case.

-Regarding the idea of joining the drilling, well, I have though a lot about that, since it apparently makes no sense to me and contradicts the previous strategy. How many times do you recall POQ saying something and doing something else?. Many I guess. So why should be different this time?. Maybe this is just part of the strategy to promote Falcon, like a kind of nice necklace to the pack to sell it more easily. We might be involved in some drilling, but I guess going to production is not the real idea behind.

So those are the reasons why I think we should keep the calm. Our company will be finally promoted, which is really good. And about the rest we have to hear POQ face to face. Maybe his moves have been advised by somebody with better intentions than we think.

It is not really that bad for us. We still have 22.5% interest in the Beetaloo, which now is derisked. We are not a small research company which is not able to produce any patent.

Take it easy. It will not be really that bad. And before any major change is made, we have the October meeting. We will see.

Bruner made some mistakes and was unlucky with the Mako geology, but I think we are entering a stage where he would move like a fish in the water. Possibly he would already had scheduled some meetings with major investors in Southeast Asian and China.

My feeling is that the main problem in regards with POQ is that he has no major share holder in front of him other than BS, who unfortunately has his own agenda. That is one of the reasons why a reverse targeting big players would be beneficial for all us. In the past our CEO had some main holders who were able to object his decisions and even sack him.

I ask myself about the effect of a possible end of the Ukranian mess. Seems that things are not going right for Ukraine. Trump has already said that he wants to end that messy conflict. He has also said that now he is against sanctions, since eventually they turn against the sanctioning countries. Possibly you all know that we had major russian holders (Viktor Vekselberg and possibly others) who had to leave Falcon due to the sanctions. Maybe we will see some cash flowing in if they lift the banning on them. I guess it is also very much linked to what will happen in the US elections. If Trump wins I foresee and age of joy in the markets. End of wars, and countries focusing of producing positive things. I am one of those who think that God is behind Trump, you can laugh about that, but I am certain that He wants him to put some order in a world heading to chaos. On the other hand, if Kamala wins we will see an age of darkness, wars, disasters and the imposition of CBDCs. So interesting time to be alive an experience the months to come.

And of course I would happily accept 0.5$/share now.

Tenutoac: I have experienced reverses going to dissaster and usually happens when its done because of a really low SP since the company had nothing of real value behind, so the company SP just continues drifting down same as it would without the reverse.

In our case it would be part of a plan. Hopefully we will receive good dilling results, thus we have value, and it also is intended to target big players.

What I really miss is promotional activity. Considering the huge needs of China and how Southeast Asia is developing, I think we have strong potential investors there, though I am not able to quantify that. And I am afraid POQ is not able to do it too, since he has not explored that way at all.

I dont see how entering the drilling game would benefit us, since others are already doing that. If they manage to prove the amount of gas in the Beetaloo we will also increase our value. And trying to go to the explotation stage seems really absurd for us. So it will only serve for further dilution.

We have been repeatedly said that what really counts are the proven resources which will define the final selling price of falcon. And that would be determined by other companies work in the area. Their drilling results do not depend at all on whether or not we participate in the drilling.

Thus the reverse in itself might help to have a higher SP before any final potential buyer of the company arrives, and only if big players decide to buy our shares. On the other hand, it will possibly be the previous to a dilution to raise funds for entering the drilling, which seems to be nonsense.

Well, I am really afraid that POQ is not interested in a swift and profitable sell of falcon. Rather than that, he wants to drag this story for as long as possible at our expense.

Longknife: I have seen other reverses behave exactly as you describe, unfortunatelly. If there is no strong promotional activity behind and/or results, the tendency is to shrink again.

However, regarding the name change I think it is a smart idea, since currently we only have the betaloo as a valuable asset. Thus the more investors asociate us with Betaloo and less with the Mako fiasco, the better.

So the final result depends on the strategy that POQ will follow. If he promotes our company not only in the US but also in the Asian markets and we have good drilling results, it could work. And quite likely is the only way to escape the mess we are heading.

Poods has been for long asking for a reverse. Seems that that we will see if he is finally proven right.

WW, you are a very valuable poster, since you have knowledge about how things are developing behind the curtain and you share it with us. We are very grateful for that.

Seems that at this point we have a few drawbacks. Two of them:

-The lack of promotion about FO that many of us see evident and a few justify. That weakens our position, especially in case a new capital rise was required.

-The fact that POQ usually says A and we finally get B, C or D. Whether it could be because of incompetent partners, a host of circumstances beyond his will, or a butterfly moving in the other side of the planet. In my view that does not involve his managerial decisions, which I have defended previously as they seemed the only reasonable in a decision chart, lack of promotional activities apart.

But the bright side of the situation is that geology favours us, maybe the most important factor, since the reverse was which lead us to disaster in Mako, and eventually is what really counts.

And we have BS on the wheel of the development, a very competent person with real knowledge in this sector and the appropriate contacts. And apparently, he is not too interested in FO due to the atomisation of its shareholders, though he profits every now and then of the weak SP.

So I think we are in a very good position to reach our target. And some months is nothing compared to the road we have already left behind.

WW, I undestand you point about the best moment for promotional activities, but I do not agree with you. After being in this ordeal for almost 20 years I have a very different approach. Your "they advertise when there is something to advertise" shows a very reactive attitude, and things dont work that way. Bruner was very good at promoting Falcon, and one of the things he did very well was create expectations, which means that you will make sure that majors in this bussines or companies with potential interest have their scopes focused on the project waiting for results. That is a proactive attitude and means that you really trust what you want to sell. The idea of starting promotion after good results are here is very comfortable, but shows lack of confidance and that reactive attitude means you arrive late to where you want, if you manage to arrive there. Only makes sens if you are suspicious something could go wrong with next wells. I thing we are now in the good side of the learning curve thanks to BS and friends, and next wells results and the consecuent market reaction are critical for us. So better if POQ behaves as someone with real confidance of what he has in his hands.

For those who think nobody is driving, both Tambo and BS are on the wheel. POQ is just another passenger though too expensive for us. The POODS proposal to do a reverse split is very smart, but unfortunatelly peny stocks use to return to that condition if no promotional activity or strong prove or value is presented with/after the reverse. That makes me feel worried about wasting a very serious tool with a CEO who has got used to do just nothing out of being paid a fortune. So the correct timing is esential. Now I miss the skill of Bruner to promote Falcon, he was a smoke seller but very good at that, maybe because his $ where on the pot, whereas POQ has no personal interest in FOG success.

POODS has been asking for a FOG reverse split for years. Accordintg to him that would be benefitial for holders since would allow big companies to enter the game.
