I very much doubt that the board having a mind to accept the offer will have any weight if (and probably will) another offer comes in from elsewhere. You are not going to be awarded a 2.8 billion dollar contract if you are going bust. If management still 'have a mind' to accept a 35p offer I suspect back handers.
