However, there's no getting away from the fact that (i) he did, and (ii) he did so because of the reasons set out in my 11.38 post and (iii) the very valid reasons others have given.

Serenstar - for you (or anyone else) with any kind of questions, doubts, anxieties etc about the company, warrants or why the Prof chose Capai (previously named Dukemount), go onto Companies House and download the Sept 24 accounts. Every last possible piece of info you need is in there. Start at the back with the post year end matters.

The facts of the matter and pretty obvios plus for ALL stakeholders are -

1. Main Market quote

2. Very clean (previous debt converted to equity, previous subsidiaries liquidated etc)

3. Availability of tax losses.

4. Controlled by Richards Edwards - are very competent and smart Chartered Accountant. In my experience, accountants specialising in tax are the smartest of the smart.

5. Current focus on AI.

Read my previous post after the open April meeting which the Pressor and his R42 colleagues held. I was able to ask him exactly the question you ask - and get a completely logical answer.

Stan36 - you need to be very careful. You have used the word "liquidity". There is no mention of that word in the last RNS. You ignorantly (or puposefully) then referenced the £150k raised from exercise of the warrants in the context of your use of the word liquidity - the warped suggestion being that the company needed to raise the cash, and therefore convinced the warrant holders to exercise. Then, you feed AI this biased information and appeared to gloat at the incorrect resultant asnswe.

As I said - be very, very careful. READ THE LAST SENTANCE OF WHAT THE RNS ACTALLY SAID -

"...the Company will issue and allot 400,000,000 Equivalent Shares to Mr. Edwards within three business days of the delivery of the Warrant Shares to the relevant holders of Warrants. It is proposed that the Equivalent Shares will be issued and allotted to Mr. Edwards under an exemption from the requirement to issue a prospectus, and that the delivery of the Warrant Shares to the holders of the Warrants being exercised is being undertaken solely to ensure the maintenance of market stability in the stock..."

Well said - any naysayers should carefully read the original post.

I've just topped up. New big corporate lawyers will have picked the loss of capital Companies Act technicality up as part of pre-deal DD. This is a board which is going to deliver.

Read carefully -

"...The Board welcomes dialogue with Shareholders on this matter and the General Meeting will provide a forum for such discussions to take place. Shareholders should note that they will not be asked to vote on this agenda item at the General Meeting, which is for discussion only..."

Ignore 'serious loss of capital' - it's just an historic balance sheet structure issue which they are, quite correctly, tidying up. It should have been done by the previous board and, as they say, they are convening the meeting as a backstop so they can be certain that something inconsequential like this doesn't come and bite them in the future. Successful, serious investors will have seen this many times before. Google it.

The brilliant thing is firstly, that evidences that warrant holders want to exercise NOW. Ask yourself why that might be. In other words, 400,000,000 additional reasons to be positive.

Secondly, the Company receives £150,000 - therefore preventing the need to have any kind of interim / short term placing. The Company has virtually no costs - so this cash will likely have been needed for DD, legals etc relating to the R42 alliance.

Thirdly, this and previous housekeeping RNS's confirm that they are obviously fleeting all their affairs in order..... for what, we ask....???

This doesn't look like a retail trade to me....

As a substantial holder here, I'm sure we're all going to be just fine.

"In advanced discussions..." was the key takeaway from the most recent news. Once we have more visibility on the final structure of the capAI / R42 alliance, then will be the time to shout from the rooftops.

Crownos - it's time to let go. Your constant harping on about this apparent lack communication is introducing needles FUD & negativity into the debate.

I've Chaired small cap quoted companies in the past and have done several of these non mainstream media interviews. Depending on the message and timing, they can sometimes be counterproductive. They can also warp and / or whip up the expectations of a certain types of investors (!!)

Compared to many other quoted small caps, capAI's communication is brilliant. Did you join the open Linkedin meeting 10 days ago which The Prof and his R42 colleagues listed? I was able to ask him why he positioned himself with capAI, and received a straightforward and logical answer. Tell me another company that offer that kind of communication.

1p - base case = (£33m market cap)

2p - mid case

3p - best case (= £100m market cap)

Medium Term (after proof that the R42 alliance adds value for capAI shareholders);

To clear up any remaining ambiguity, these latest TR1's re Prof Nag & Edwards are simply reflecting their decreased holding %'s of the enlarged number of shares in issue following the recent exercise of the warrants. THEY HAVE NOT SOLD SHARES. REPEAT, THEY ARE NOT SALES.

All Directors are Inside currently because of the R42 discussions / negotiations. By way of a recap -

The warrant holder can exercise whenever they want - they can sit back and wait for news and then exercise. There is something else in play here around the prospectus issue and the fact the company issued for market stability... I think these shares were front sold and there was a potential squeeze coming if the company didnt issue the shares.........

For the company and its broker to manage the market like this shows great maturity and respect for existing sharholders.

I've been compelled to post more often than I have previously because of the real-time play out dynamics here. What's happening (and whats about to happen) with CapAI is something quite special.

Ignoring the Hype, FUD, idiot comments and speculation - but, in 25 years experience around small cap public markets, I have never, EVER seen so many after market posted black trades. What are peoples take on this?

For anyone thinking about an investment in capAI, read this 100 times per day and then feel the warm glow -

1. Founders Equity - it's the way public markets work. Don't be jealous. Just think - it could have been you!

2. His reputation is now firmly in people's Cross Hairs. The risk to his reputation in NOT delivering is worth far more than money.
