Calculus Capital’s share holding must have dropped below 3% as they are no longer listed as a significant shareholder.

The last we heard was as at 26 October’22 when Calculus Capital held 37,546,331 shares (4.6%) as detailed on page 21 of the year end financial accounts.

A significant shareholder is any person with a holding of 3% or more in any class of AIM security.

My mistake. I am wrong I think they have just dropped below 3%.

You will see that the previous version on 28 September does not include Calculas Capitals holding as part of the 45.59% not in public hands.

Scancell have updated their share information page and Calculus Capital is no longer showing as a significant shareholder:-

Initially I thought they must have sold enough shares to drop below a 3% holding. However the page states ”As at 22 November 2022 the percentage of AIM securities not in public hands was: 45.59%.”

If you add up the holdings of Redmile, Vulpes and Scancell Holdings directors this comes to 371,388,316. This represents 45.57% of the 815,218,831.(However, Vulpes holding is quoted 250,000 less than it was in the accounts. If you add this on this brings the percentage in line at 45.59%).

I interpret that they must have sold to an individual?

I have listened back and Lindy says:-

“As soon as we got into South Africa there was a big omicron infection. So alot of the patients had received a single immunization and then got omicron. Indeed I think we’d recruited 18 patients and only 3 of them did not get omicron ………… Because they were safe and we had no problems we got permission to go as a post vaccine in patients who had already been infected or had another vaccine and that’s really the commercial place for this as a booster vaccine and not as an initiating vaccine.”

“We have fully recruited 40 patients to that study. Everybody has now been immunized and we are just waiting for the team to finish doing the translational assays about the antibody and T cell responses. That all needs clearing up, we were hoping to do this by the end of the year but we’re probably just going to get into January before we report there.”

I am not discouraged by Lindys’ comments about Covidity. My interpretation is that 18 patients had one dose of SCOV1 and 15 of these caught omicron. Scancell now appear to be looking at SCOV2 alone “commercially” as a booster (Not as an initiating vaccine).

I also interpret that the 40 patients in the study are in the “booster study” and this does not include the 18 that were having both SCOV1 and SCOV2.

As detailed in the trial protocol 40 patients out of a possible 80 is sufficient (i.e. 10 in each of the 4 SCOV2 only populations):-

2 cohorts (One intradermal and one intramuscular) of “Vaccine Naive and Previously Vaccinated participants: Two doses of SCOV2 (administered on Day 1 and Day 29) with a final end of study assessment performed 6 weeks after last dose of study vaccine (Day 71)”.

2 cohorts (One intradermal and one intramuscular) of “Previously Infected participants: A single dose of SCOV2 (administered on Day 1) with a final end of study assessment performed 6 weeks after last dose of study vaccine (Day 43)”.

Regarding Modi-1. The addition of The Clatterbridge Cancer Centre, Liverpool, further authenticates the story of patient X. She says “I am having my treatment in Liverpool”.

All sounds a bit familiar and Scancell has a head start. If Covidity is as good as we all hope then I am sure other Pharma companies will be keen to partner Scancell.

As Scancell’s chairman states in their year end accounts “The COVIDITY programme, focusing on the Company's novel COVID-19 vaccine candidates SCOV1 and SCOV2, recently completed recruitment in South Africa and will report safety and immunogenicity data in Q1 2023. Given the large size of later stage trials, the Company intends to partner this programme once it has generated proof of concept data from the Phase 1 trial.”

I see that a number of the buys today are showing as “None protected portfolio” and “Single protected transaction” (You will see this if you put your cursor over the “i”). i.e. reading from the top down: 100,421; 10,000; 15,000; 2,000; 3,090; 10,000; 5,000; 3,984 (I am unable to read any earlier transactions).

I am not familiar with this so I googled it:-

None protected portfolio: “Normally a transaction of a number of stocks dealt with by one market maker at an agreed discount to the market price.”

Single protected transaction: “A protected transaction occurs when a large order is going through the market. The buyer (or seller) may wish to keep the order anonymous from the rest of the market as the size of the order could greatly alter the price of the stock.”

I interpret this means that an anonymous buyer has a large order (or orders) going through one market maker at a discount to the market price.

Interesting, might someone be building up a stake or maybe I am reading too much into this?

I agree Chester. I see that the year end accounts state:-

"Our COVIDITY trial has completed recruitment in South Africa and the Company intends to partner this programme once the proof-of-concept data from the Phase 1 trial has been collated and reviewed providing validation of the utility of our ImmunoBody® technology in treating infectious diseases."

So "infectious disease" seems broader than simply refering to SARS-CoV-2. I wonder if Scancell have more to offer on this front.

I am surprised to see that there does not appear to be any mention of Scancell on Genmab’s website. This is despite the fact that there are references to Genmab’s licence agreements with other companies.

This prompted me to search for Genmab on Scancell’s website. Surprisingly to me (maybe common knowledge to others?) I found this from 21 years ago:-

It can be seen that Calculus sold just under 5 million shares in 11 months to 28 Sep’22 followed by just over 3 million shares in 1 month to 26 Oct’22.

I understand that AIM rules are that if their holding drops below 4% (32,608,753 shares) we will get a RNS.

For this to happen Calculus will need to sell just under another 5 million shares in the period since 26 Oct’22. I suspect that they are still selling, only time will tell.

The Chairman’s statement in the accounts (Within the last 3 paragraphs thereof) states:-

“Each mAb can be developed into multiple products which presents a rich reservoir of potential products for in house development and also for further revenue-generating deals with third parties.”

This is great news. JC goes on to say:-

“This platform is now being complemented by a new discovery research technology that enables us to produce fully-human mAbs directly from human blood.”

I refer also to the wording of the RNS 25 October’22.

“Genmab has been granted the exclusive right to develop and commercialise the Scancell antibody in multiple novel potential therapeutic products for any and all potential disease areas, excluding cell therapy applications”.

So cell therapy applications are excluded from the deal.

I just wonder if this is linked to JC’s reference to “a new discovery research technology that enables us to produce fully-human mAbs directly from human blood”. (i.e. This is Scancell’s baby and Genmab aren’t getting their hands on it).

I shall be honest this is over my head so forgive me if this is a silly question.

I agree that there must have been a big seller yesterday. I know nothing about charting but I have just looked at the maths and applied a bit of logic.

If you look at the link below to the Scancell share price chart you will see the following 3 “jumps” in the share price this year:-

a) RNS Modi-1 Phase 1/2 clinical trial open for recruitment 11 April'22:
Trading volume 10.52 million shares. Share price rose 6.15p on the day (from previous day close 10.75p to 16.9p).

b) RNS Phase 2 SCOPE trial of SCIB1 vaccine expanded 15 June'22:
Trading volume 3.46 million shares. Share price rose 2.05p on the day (from previous day close 13.15p to 15.2p).

It can be seen that on approximately one third of the trading volume the shares rose by one third of the amount. This suggests to me that the ratio of sellers to buyers on both of these occasions must have been similar.

c) RNS License agreement with Genmab 25 October'22:
Trading volume 17.01 million shares. Share price only rose 2.27p on the day (from previous day close 13.13p to 15.4p).

Had the ratio of sellers to buyers been similar to that in a) and b) above, I would have expected the share price to have risen by approximately 10p. AIMHO

Clearly the ratio of sellers to buyers was a lot higher yesterday than during the previous two rises.

It may not be relevant but it is worth mentioning that on 5 August’22 Genmab and BioNTech announced an expansion of their global strategic collaboration to develop and commercialise novel immunotherapies for the treatment of cancer patients:-

Fantastic news today. I wonder if we will now see Zakari Therapeutics Limited come in to play. Perhaps it will be used as a vehicle for the receipt of the upfront payment, milestone payments and royalties from Genmab as well as any other mAbs deals in the future.

I must admit I was a bit concerned with the annual results due by 31 October’22. Last year I seem to recall the share price dropping after the results, probably due to people just concentrating on the cash spend rather than the company’s potential. Finally, those days may be behind us.

CONTINUED FROM PREVIOUS POST

Finally, something as divisive as Brexit; yes I am talking about the Covidity advert “likes”. One poster once said “this really made me chuckle, everyone knows it can easily be frigged”; I have absolutely no issue with that as I am totally aware of the comedic value. The advert currently has 561 “likes” and tends to generate 1 or 2 “likes” each day. There were 4 large clusters of “likes”:-

323 “likes” in the week ending Thursday 25 August.
17 “likes” on Wednesday 31 August.
20 “likes” on Monday 5 September.
60 “likes” over 2 days ending Thursday 15 September.

My personal view is that this must have some significance. Why would anyone go to the trouble to orchestrate this? (It certainly has not affected the share price). For full disclosure I have liked this once earlier this year and at the time I recall it having only 17 “likes”.
