Retail Investors (us) own over 40% of shares in issue, so we have the power to block resolutions.
My takeaways: Resolution 7 if passed allows the company to raise an aggregate nominal (1p) amount of £1,918,368 equivalent to191.8 million shares.
If the share price is 2p, the company can raise double the amount £3,836,736 equivalent to 383.7 million shares and so on pro rata to the 1p nominal.
Resolution 7 is pre-emptive, gives existing shareholders first refusal before new shares go to outsiders (II’s).
Resolution 8 is Non-pre-emptive, allowing the company to issue shares to new investors (II’s) without offering to existing shareholders first.
I will vote for resolution 7 but AGAINST resolution 8.
