Spectral MD Holdings Ltd - London-based artificial intelligence company focused on medical diagnostics for wound care treatment - Seeks shareholder consent to approve its combination with Rosecliff Acquisition Corp, and to cancel the admission of Spectral's ordinary shares to trading on AIM. Says it has decided to seek cancellation and list only on Nasdaq following the transaction, as this will "remove certain complexities and duplication that comes with administering two listing regimes".
Expects that a Nasdaq-only listing will attract "the appropriate investor base ", therefore maximising its ability to access "deeper pools of capital".
If the delisting resolution to be proposed at the general meeting on August 31 is passed, and the transaction is finalised, shareholders will no longer be able to buy and sell common stock on AIM.
