1. Dr Iliev has took part in the placing at a chunky amount.
2. Makes sense for him to merge his two main interests
3. Have a look at some of the companies in EMV PF. Tell me they are worth less than this aquisition. Look at pointgrab and tell me its not a good investment. We aquire all for £3.4m lol
4. GOOD TIMES ARE COMING
Jimzi Scotty: Thanks. Was a long way fown thst rns past what I thought was the end part! Viewing on my phone is probably not the best idea. Thanks
Ps. Is our 7.2% stake in PDSB worth around half nsci's market cap? The bod say they can't get fair market value for firms in portfolio! I bet they would for PDSB !!!! Just a thought
Price 3.4 million
Prime I think you need to read all of today’s RNS it clearly mentions how many shares are being issued and what price equivalent for overall cost to NSCI etc.
Article is from March 2019 so don't get all excited when you read "Netscientific Soars on sale"
re ex loss making companies sold to EMV and part of portfolio we propose to buy .......hummm !! https://www.proactiveinvestors.co.uk/companies/news/217083/netscientific-soars-as-it-sells-stakes-in-vortex-biosciences-and-wanda-for-150000-217083.html?__cf_chl_jschl_tk__=8f718b2550dcd5917f95eb596bbfa2ef60c868c3-1596670784-0-Ae1K7a0_PNrGmb_8-5FAvNV4gjQK2QKv0ak1dxgW3WsHE7hfsCBErtVfbX_mNGdR65Hlnz_U2SHXS9iBWiYLv6SAsBQLmnkQytcytlq9ibVhFiPTZrDi4HOOpdTfCs-zdPb37ykjtSVykezcfNZbfLDTVEyNpeFujj8YvsP7JvYmDt12t14g5J2zC69U7ZeGzewnMCv6uPFWOV3DPkFMqSLtBH-rXQ1qx72mYHbbuBQVoEPWJwBXU87zGU0Z81O_OT7ZiiyjbDUBwplAUYwUEHgOqK21tTZmLI1PFqpuyRY9nj3k-oPJyjrTb0grQba8otwebXy-hLAOtamBItxqLJvn3_ci-CyVylPvXuBVq0G5iADydN5BEgekc0VQ7lCTwiDALCxGyoCX7N8ilXGCqBbfgquK0IkCEnU58DxOcsBF
Shezer : The 23.72 % refers to the shares placed today as a percentage of the new overall issued shares post acquisition. Shares issuedto cover acquisition 3,478,539 (EMV bought with shares but exact cost mot mentioned in RNS) New total number of shares = 14,917,628.7456
Well thats my guess. We can, don't forget still vote against all of the proposals 24th ? August meeting, including the share issue.....I think.....still learning.
Jimzi: Do you or anyone else know what we are going to pay, in share equivalent, for EMV ? Its not mentioned anywhere I can see. Strange, no ?
Btw has anyone looked at the EMV portfolio? I am sure QBot are admirable but do we want to be investing in the solution to insulating under floors! No riddle and I kid you not!! So, whats the price ??
Jiddy: My final point :-
I'm still learning! Sometimes things just don't make sense to me and it maybe lack of experience or knowledge of a bigger picture. I'm not deramping or ramping but more just curious.
Everything all very urgent and immediate. Issue shares at a discount to directors and out major shareholder via a company our major shareholder has a vested interest in. Buy EMV which our ceo founded, offshoot of another of his companies, offering our discounted shares as payment (I think)Then I find we sold at least two companies in our portfolio to an offshoot of EMV, I think at a loss, which we are now buying back. Can someone try and help me understand. Thanks.
Jiddy :- The other bit I don't understand, could pi's have bought some of the new shares at 65p, 6.5p equivalent, at least 25% off sp at the time?.....NO
Jiddy The info bit !!!!
In March 2019, the Company completed a £0.15m cash sale to Deeptech Disruptive Growth Investments Ltd (“Deeptech”), a Special Purpose Vehicle of EMV Capital Ltd, of its interests in Vortex and Wanda, together with any outstanding loans and convertible loan notes owed to the Company by Wanda or Vortex. Immediately prior to completion, NetScientific was interested in approximately 95.0% and 70.8% of the issued shares of common stock of Vortex and Wanda, respectively, and 100% of the Preferred Shares of Wanda. The results of Vortex and Wanda included within the consolidated accounts of NetScientific amounted, to a gain of £0.6 million and a loss of £1.9 million, respectively, and the net assets of Vortex and Wanda at the same date were £0.3 million and £0.1 million, respectively net of intercompany balances. The loss for the year by the Vortex and Wanda discontinued operations was £1.3 million (2018: £5.4 million) reducing the operational funding requirement of the Group substantially going forward as look to preserve cash.
Jiddy ;- I posted the very same question earlier today and found this in nsci's rns on 2019. To me they sold onvestments at a loss to emv and now, in a portfolio of others, we are buying them back in a very urgently orchastrated way Hummm!!
Someone’s confident
Ffs, can’t peeps read.
There’s an acquisition agreement and a placing agreement .
Has anyone taken the time to research properly?
EMV Capital - isn't that Dr Ilian Iliev's previous incarnation.
Does anyone smell a rat?

Nominal and issue price are not the same
Application for admission to trading on AIM for the New Ordinary Shares will be made and Admission is expected to take place on 25 August. The Placing Shares will rank pari passu with the New Ordinary Shares following the proposed Capital Reorganisation. Following Admission, the Company's issued and fully paid share capital will consist of 14,916,122 New Ordinary Shares of 5 pence each.
they have worked the placing out using 5p a share. im hoping this is just an admin error
A guy on Twitter is questioning the rns figures
@NetScientific Please explain disparity. 78.6m shares 10:1 becomes 7.86m + 3.53m = 11.39m so where does 14.916m come from? #NSCI
