Issue of Shares and Total Voting Rights

London, England, Newfoundland and Labrador, Canada - Rambler Metals and Mining plc (AIM: RMM) ("Rambler" or the "Company"), a copper and gold producer, explorer, and developer, announces that during April 2021, the Company issued 50,750,000 new ordinary shares of 0.01 pence, of which 13,750,000 have been issued from its block listing authority as announced on 27 April 2021, for a total consideration of £101,500.

Following the Share Issue, the Company has the ability to issue a further 1,091,392,642 shares under its block listing facility.

The Company's new issued share capital comprises 10,744,848,677 ordinary shares. When calculating voting rights, shareholders should use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
