As a result of the conversion of 19,200 Convertible Preferred Ordinary Shares of 100p each ("CPO Shares") during May 2011 and June 2011, and 2,500 Cumulative Convertible Preference Shares of 60p each ("CCP Shares") in June 2011, Celtic plc's issued share capital as at 1 July 2011 was as follows:

90,136,222 Ordinary Shares of 1p each

13,984,387 Cumulative Convertible Preferred Ordinary Shares of 100p each

16,782,612 Cumulative Convertible Preference Shares of 60p each

495,753,679 Deferred Shares of 1p each

Deferred Shares are not listed, are not transferable and carry no voting rights or substantive economic rights.

The above figures for Ordinary Shares and Cumulative Convertible Preferred Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in voting rights under the FSA's Disclosure and Transparency Rules.

Application is being made for the 42,436 new Ordinary Shares of 1p each arising from these conversions to be listed with effect from 11 July 2011.
