ISSUE OF EQUITY

The Directors of Nighthawk Energy plc ("Nighthawk" or the "Company") (AIM: HAWK) announce that, following the receipt of a notice of conversion of warrants in the Company at 9p per share, they have allotted 321,429 new ordinary shares of 0.25p each in the Company.

Application has been made for the 321,429 new shares to be admitted to AIM, which is expected to take place on 2 June 2008.

Following the conversion of the warrants, there are 204,115,052 ordinary shares of 0.25p in issue with each share carrying the right to one vote. In addition, there are 1,428,571 warrants exercisable at 9p per share on or before 23 June 2008.
