Convertible Loan Notes

 

On 5 January 2016, Motive Television Plc ("Motive" or the "Company") announced that it had reached agreement with the largest CLN holder to acquire its £1,393,795 of CLN's for £100,000 in cash plus a 5-year warrant to acquire 5% of the Company. Completion of that acquisition was scheduled to be completed today.

 

The Company has not been able to complete this transaction as it has not been able to reach agreement with other CLN holders and the Company has now convened a meeting of the holders of the CLNs for 29 January 2016 in order to seek an extension of the redemption date from 31 December 2015 until 31 December 2017.

 

The largest CLN holder has agreed to vary the terms of the previously announced deal and extend the completion date until 19 February 2016. Consequently, the Company will now be required to pay £150,000 in cash (previously £100,000) in order to acquire the £1,393,795 of CLNs held by the largest holder.

 

Working Capital

 

As announced previously, Motive's working capital continues to be tightly managed and Motive continues to rely on the support of its creditors, staff and of its directors in order to continue to trade.
