Director/PDMR Shareholding

Polymetal International plc (LSE, MOEX: POLY, ADR: AUCOY) (together with its subsidiaries - "Polymetal", the "Company", or the "Group") discloses the following information regarding certain of its share plans.

Deferred Share Awards plan ("DSA")

A right to receive ordinary shares with no par value under the Company's DSA. Shares are released annually to the employee over the next three years in equal instalments (March 2015, 2016 and 2017). Details of the DSA are more fully described in the Polymetal Annual Report and Accounts for the period ending 31 December 2013 available on the Company's web-site at www.polymetalinternational.com

In accordance with the above, the CEO and Persons Discharging Managerial Responsibilities ("PDMRs") of the Company have received a conditional award of shares as follows: 

Performance Share Plan ("PSP")

Details of the PSP are more fully described in the Polymetal Annual Report and Accounts for the period ending 31 December 2013 available on the Company's web-site at www.polymetalinternational.com It is exercisable following a four-year vesting period, subject to performance measures determined by Polymetal. For this award, vesting is based on relative TSR, measured against the constituents of the FTSE Gold Mines Index, and also on the Company's absolute TSR. Peers are ranked and the Company's position determines vesting (0% vests for below median performance; 20% vests at median performance; 100% vests at top decile performance and above). No award will vest if absolute TSR is negative, regardless of relative performance.

Under the PSP, a conditional award over ordinary shares with no par value as per schedule below was made to the CEO and following PDMRs of the Company: 

No consideration is payable for the making or vesting of the awards by the beneficiaries.

Notification is made under Disclosure Rule 3.1.4.
