Panmure Gordon & Co. plc10 November 2006 10 November 2006 Panmure Gordon & Co plc DIRECTOR SHAREHOLDING Panmure Gordon & Co. plc ("the Company") has been advised that CharlesStonehill, Chairman of the Company, purchased 50,000 ordinary shares of 4p eachin the Company at a price of 154p per share on 9 November 2006. Following this transaction, Mr Stonehill's beneficial holding in the Company'sshares is 50,000 ordinary shares (0.08%). In addition Mr Stonehill has an optionover 450,000 shares held in the Panmure Gordon & Co. plc No 2 Employee BenefitTrust at an exercise price of 4p. 250,000 of the shares under the option willvest in equal thirds on 26 April 2007, 26 April 2008 and 26 April 2009. Thevesting of the remaining 200,000 shares is subject to the Company's share priceattaining certain levels within the next five year period.
