Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons

Interserve Plc (the "Company") was notified today by the Trustees of the Interserve Share Incentive Plan 2009 that the cash dividends paid on 24 May 2012 had been reinvested and used to purchase 45,554 Dividend Shares on 24 May 2012 at a price of 277.42 pence per share. The interests of the Executive Directors and Persons Discharging Managerial Responsibilities ("PDMRs") in this transaction are listed below:
