EBT Share Purchase

Harvey Nash Group plc (the Company) announces that on 2 December 2013 the Harvey Nash Group EBT Limited purchased 600,000 ordinary shares at 96p pence per share, in the Company.

Following this purchase, the Harvey Nash Group EBT Limited held 830,239 shares. 755,000 ordinary shares in the Company have now been transferred to Directors and employees of the Company by the Harvey Nash Group EBT Limited in order to satisfy the exercise of options under the Harvey Nash 2005 Executive Share Option Scheme.

Following this transfer, the Harvey Nash Group EBT Limited will hold 75,239 shares.

The Trust is a discretionary trust under which all employees of the Harvey Nash Group are potential beneficiaries, including the directors, each of which is deemed for the purposes of the Companies Act 2006 as interested in all of the Shares held by Harvey Nash Group EBT Limited.

Director / PDMR shareholding

The Company also announces that on 2 December 2013 the Directors listed below exercised options under the Harvey Nash 2005 Executive Share Option Scheme:-

Albert Ellis has sold only sufficient shares to cover the costs of exercise and related tax charges and has retained the balance. His 180,000 options at £0.890 were due to lapse before April 2013. Simon Wassall and Richard Ashcroft have sold all the shares resulting from this exercise.

Following these transactions, Albert Ellis now holds 786,451 shares in the Company, which represents 1.1% of the issued share capital. Simon Wassall holds 262,737 shares in the Company, which represents 0.4% of the issued share capital and Richard Ashcroft holds 226,573 shares in the Company, which represents 0.3% of the issued share capital.
