Response to announcement of the Results of the Unconditional Mandatory Cash Offer for Hornby

Hornby notes the announcement made by Phoenix UK Fund Ltd ("Phoenix UK Fund") earlier today regarding the final level of acceptances received in relation to the Offer made by Phoenix UK Fund (the "Offer") and the fact that the Offer is now closed and is no longer capable of acceptance.

In its announcement, Phoenix UK Fund announced that as at 1.00 p.m. (London time) on 14 July 2017, the closing date of the Offer, Phoenix UK Fund had received valid acceptances in respect of 13,742,556 Hornby Shares, representing approximately 16.247 per cent. of the current issued share capital of Hornby.

Accordingly, as at 1.00 p.m. (London time) on 14 July 2017, the Phoenix Concert Party either owned, or Phoenix UK Fund had received valid acceptances of the Offer in respect of, a total of 60,446,594 Hornby Shares, representing, in aggregate, approximately 71.464 per cent. of the current issued share capital of Hornby.
