Yell Group plc26 June 2006 Yell Group plc (the "Company") Share Purchase by Trustee to Satisfy Deferred Share Award On 23 June 2006 a deferred share award was made pursuant to the terms of theYell Group plc Deferred Bonus Plan (the "Plan"): These awards will vest on 23 June 2009. In connection with the granting of these awards, on 23 June 2006, Mourant ECSTrustees (Jersey) Limited, as Trustee of the Yell Employee Benefit Trust (the "Yell Trust"), acquired in the market, at an average price of 490.5 pence pershare, a total of 61,816 Ordinary Shares of 1p each in the Company (the "Shares"). The Shares acquired in the market will be held by the Yell Trust until theawards vest and the Shares are transferred to the grantees. The Yell Trust is a discretionary trust and all employees (including executivedirectors) of the Company are included in the class of potential beneficiaries.Therefore John Condron and John Davis, as executive directors of the Company,are deemed to be interested in the Shares, whilst they are held in the YellTrust.
