FBD Holdings PLC26 June 2007 RULE 9.6.4 ANNOUNCEMENT FBD Holdings plc announces that on 26 June 2007 10,000 shares were transferred out of the Company's holding of treasury shares to an employee pursuant to the exercise of a share option under the FBD Holdings plc Executive Share OptionScheme. The shares were transferred at a price of €3.99 per share. Issued Share Capital Update Following the above transfer FBD now holds 717,807 shares in treasury and has34,743,399 shares in issue, excluding the treasury shares. Confirmation of number of voting rights The total number of shares in issue which are both admitted to trading on theIrish Stock Exchange and the London Stock Exchange and carry voting rights is34,743,399. This number may be used by shareholders as the denominator for thecalculations by which they will determine if they are required to notify theirinterest, or a change to their interest, in FBD Holdings plc. Section 209 (3) of the Companies Act, 1990 effectively suspends any votingrights attaching to the 717,807 treasury shares for so long as they are held intreasury.
