LTIP Awards

CityFibre (AIM: CFHL), a leading designer, builder, owner and operator of fibre optic infrastructure in UK towns and cities, announces that on 17 February 2016, the Company granted nil-cost options over a total of 5,052,857 ordinary shares under the LTIP adopted at the Company's AGM on 20 April 2015 (representing approximately 1.9% of the Company's issued share capital). The award which covers 2015 and 2016 has been made to members of the Group's executive team, senior management and employees in line with the intention set out in the Company's AIM Admission Document published on 14 December 2015.

Awards have been approved, as set out in the table below, for the executive directors at the mid-closing price of the Company on 17 February 2016 (51 pence), and are subject to vesting criteria based on share price performance, turnover and profit measures:

In addition to the awards made to executive directors, aggregate awards of 1,802,857 shares have been made to senior managers in the Group. These awards were granted on 17 February 2016.
