Close Brothers Venture Capital Trust PLC
Issue of Equity
Close Brothers Venture Capital Trust PLC (the "Company") announces that, further to the Dividend Reinvestment Scheme introduced by the Company (details of which were set out in the Circular issued to shareholders on 10 July 2008), the Company today allotted 49,832 ordinary shares of 50p each (the "New Ordinary Shares") in the capital of the Company. In accordance with the Circular, the New Ordinary Shares were issued at a price of 104.9p.
Accordingly, application has been made to the UK Listing Authority for the admission of the New Ordinary Shares to the Official List of the UK Listing Authority and to trading on the London Stock Exchange's main market for listed securities and it is expected that dealings will commence on 18 August 2008. The New Ordinary Shares will rank pari passu in all respects with the existing ordinary shares in issue.
Following the issue of the New Ordinary Shares the Company will have 35,928,061 ordinary shares in issue.
In conformity with the Transparency Directive's provisions we would like to notify the market of the following:
Close Brothers Venture Capital Trust PLC's capital as at 15 August 2008 consisted of 35,928,061 ordinary shares. Close Brothers Venture Capital Trust PLC holds 522,327 Ordinary shares in Treasury.
Therefore the total number of voting rights in Close Brothers Venture Capital Trust PLC is 35,405,734.
The figure of 35,405,734 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Close Brothers Venture Capital Trust PLC under the FSA's Disclosure and Transparency rules.
