NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS

In accordance with Disclosure Rule 3.1.4R(1), I hereby inform you that ITE Group plc ('the Company') was notified on 31 March 2014, in order to satisfy Disclosure Rule 3.1.2, that Marco Sodi, Non-executive Chairman of ITE Group plc, purchased 25,000 ordinary shares in the Company on 28 March 2014 at the price of £1.937p per ordinary share.

Following this transaction Mr Sodi holds 100,000 ordinary shares representing 0.04 % of the Company's share capital.
