AGM Statement

Lord Browne of Madingley and Chairman of Windward Ltd., provides the following trading update in advance of the Annual General Meeting to be held today at 11.00 a.m. BST at the offices of Fladgate LLP, 16 Great Queen Street, London, WC2B 5DG.

"I am pleased to report on an exceptional start to the year, building on the successes of 2021. We have continued to widen our customer base, expanded the use of our platform with existing customers, invested in our team, and launched three new capabilities. As a result, I am pleased to confirm that Annual Contract Value (ACV) is growing in line with the Board's expectations for this point in the year. Our cash position remains strong, providing us with the funds to deliver on our growth ambitions.

We are committed to providing our customers with the utmost visibility during these turbulent times, increasing the scope of our platform so they can continue to conduct business with confidence. The year has seen the launch of three new capabilities, addressing key issues in maritime trade. Our "Russia" Sanctions Compliance solution, our Ocean Freight Visibility solution, and our new non-maritime counterparty due diligence capabilities, which enable customers to go beyond the maritime ecosystem and screen all companies and individuals, both maritime and non-maritime.

We believe that the global maritime industry has changed, requiring a new level of analysis and insight across both the government and commercial sectors. Our platform provides a unique solution and an efficient approach. With this in mind, the Board looks to the future with confidence and expects to deliver results for the year in line with market expectations."

Attendance at the AGM

Further to the Notice of Annual General Meeting issued by the Company on 11 April 2022, the Company has arranged for a video conference facility to allow shareholders to follow proceedings at the AGM remotely. The video conference facility will be listen only, other than for Directors (if any attend remotely). Shareholders interested in following proceedings at the AGM remotely through this facility are invited to contact the Company by email at legal@wnwd.com by no later than 10:00 a.m. BST today, 11 May 2022, in order to receive personalised conference call details.

As set out in the Company's Notice of AGM, connecting to the AGM via a video conference facility will not amount to attending the AGM and shareholders will not be able to vote via the video conference facility.
