Share Incentive Plan

The SIP Trustees (Cytec Trustees Limited) acquired a total of 19,573 shares (the "Partnership Shares") on 9th September 2024 at a price of £0.44 per Ordinary Share and a total aggregate cost of £8,612.12. The Partnership Shares were acquired through market purchases and have been allocated to those Company employees participating in its Share Incentive Plan (SIP) scheme.

The SIP scheme is designed to reward and incentivise employees of the Company through tax-efficient salary sacrifice and a free matching award of Ordinary Shares on a one-for-one basis. Accordingly, on 9th September 2024, the SIP Trustees allocated a total of 19,573 matching shares (the "Matching Shares") under the SIP. The Matching Shares have been recycled from unallocated shares already held by the SIP Trustee.

TPXimpact Holdings PLC's (AIM: TPX) total issued share capital consists of 92,159,555 ordinary shares of £0.01 each.
