SOPHOS GROUP PLC

Update on debt financing arrangements

On 14 October 2019 pursuant to Rule 2.7 of the Takeover Code, the board of directors of Surf Buyer Limited ("Bidco") and the board of directors of Sophos Group Plc ("Sophos") announced a recommended offer for the entire issued and to be issued share capital of Sophos (the "Acquisition"), to be implemented by way of a court sanctioned scheme of arrangement under the Companies Act 2006 (the "Scheme") (the "Announcement").

Capitalised terms in this announcement, unless otherwise defined, have the same meanings given to them in the Announcement.

Bidco announces that on 25 October 2019, each of Bank of America N.A., Barclays Bank PLC, Credit Suisse AG, Cayman Islands Branch and HSBC Bank USA, N.A. (the "Additional Interim Lenders") agreed to become lenders under the Interim Facilities Agreement described in the Announcement by way of a global transfer certificate (the "Global Transfer Certificate").

Bidco also announces that on 25 October 2019, a joinder to the commitment letter and the fee letter originally entered into on 14 October 2019 relating to the financing of the Acquisition, which were previously published on Target's website was executed by: (i) each Additional Interim Lender as an "Additional Initial Lender"; and (ii) each of BofA Securities, Inc., Barclays Bank PLC, Credit Suisse Loan Funding LLC and HSBC Securities (USA) Inc. as "Additional Lead Arrangers" (the "Joinder to Commitment Letter and Fee Letter").

The Acquisition relates to the shares of an English company and is being made by means of a scheme of arrangement provided for under English company law. Dealing and Opening Position Disclosure Requirements

Under Rule 8.3(a) of the Takeover Code, any person who is interested in 1% or more of any class of relevant securities of an Offeree company or of any securities exchange Offeror (being any Offeror other than an Offeror in respect of which it has been announced that its offer is, or is likely to be, solely in cash) must make an Opening Position Disclosure following the commencement of the offer period and, if later, following the announcement in which any securities exchange Offeror is first identified.
