(the "Company")
Listing Application
Application has been made to the Financial Conduct Authority (the "FCA") and London Stock Exchange plc (the "London Stock Exchange") for 6,105,160 ordinary shares of 3 pence each in the capital of the Company (the "Shares") to be admitted to the premium listing segment of the Official List of the FCA and to trading on the London Stock Exchange's main market for listed securities ("Admission").
The Shares were allotted and issued by the Company between July 2015 and December 2016 under the terms of the following Company share plans:
Long Term Incentive Plan | 2,447,996 shares |
Pentagon Holdings Management Equity Plan | 984,724 shares |
Pentagon Holdings Staff Option Plan | 1,670,963 shares |
Pentagon Holdings 2010 Retention Award Plan | 1,001,477 shares |
Admission is expected to become effective on 9 December 2016.
Block Listing Application
Application has also been made to the FCA and to the London Stock Exchange for 19,864,631 ordinary shares of 3 pence each in the capital of the Company (the "Block Listing Shares") to be admitted to the premium listing segment of the Official List of the FCA and to trading on the London Stock Exchange's main market for listed securities using a block listing ("Block Listing Admission"). The Block Listing Shares will, upon issue, rank equally with all the other ordinary shares of 3 pence each in the capital of Company that are then in issue.
The Block Listing Shares will be issued by the Company from time to time under the terms of:

International Save As You Earn Scheme | 1,000,000 shares |
US Employee Share Purchase Plan | 500,000 shares |

Pentagon Holdings 2010 Retention Award Plan | 114,631 shares |
Block Listing Admission is expected to become effective on 9 December 2016.
