Capital & Counties Properties PLC ("Capco") is the owner of the legal title to the shares which are the subject of this notification, and it is holding these shares on trust for the benefit of three of its wholly-owned subsidiaries (Newco 678A Limited, Newco 678B Limited and Newco 678C Limited) (such shareholding divided equally between the aforementioned subsidiaries).
These subsidiaries are sister companies that hold no interest in each other. Capco therefore has no beneficial rights to any dividends.
Capco has agreed to acquire a further 5.31% interest in Shaftesbury PLC from Veloqx (Jersey) Limited, as trustee of the Veloqx settlement, a discretionary trust established by Samuel Tak Lee for the benefit of himself and his immediate family (see Capco RNS number 4472O). Such further acquisition is subject to shareholder approval and will be notified separately.
