SafeCharge International Group Limited (the "Company")
Grant of Awards under the Company's Long Term Incentive Plan 2016
On 2 November 2016 the Company's executive directors were granted nil cost option awards over ordinary shares of US$0.0001 value under the SafeCharge Long Term Incentive Plan 2016 (the "Plan") as noted below:

Subject to the terms of the Plan, the awards granted will ordinarily vest and become exercisable from 1 March 2019, subject to the grantee's continued service and to the extent to which Adjusted EBITDA performance criteria are met over a measurement period comprising three financial years of the Company commencing with the current financial year.
Once exercisable, an award shall ordinarily remain exercisable as to its vested shares until the eve of the tenth anniversary of the grant date of the awards.
No consideration was paid for the grant of the awards and no consideration is due on the vesting and/or exercise of the awards.
The Company was notified of the above transactions on 2 November 2016.
