Results of General Meeting
A General Meeting of The Restaurant Group plc was held on 23rd May 2018.
Voting was conducted by way of a poll and the resolution put to the General Meeting was passed. The number of votes for and against the resolution and the number of votes withheld were as follows:
Resolution To approve: 1.1 the appropriation of distributable profits to the payment of each of the Relevant Dividends; 1.2 the waiver and release of any and all claims which the Company has or may have arising out of or in connection with the approval, declaration and/or payment of the Relevant Dividends against its current or former shareholders and the entry by the Company into a deed of release in favour of such shareholders; and 1.3 the waiver and release of any and all claims which the Company has or may have arising out of or in connection with the approval, declaration and/or payment of the Relevant Dividends against all directors (present or former) of the Company, including the Related Party Directors and Former Directors and the entry by the Company into a deed of release in favour of such directors.

Notes:
1) The total number of shares in issue at 23 May 2017 was 201067400.
2) Where shareholders have appointed the Chairman of the meeting as their proxy with discretion as to voting, those votes have been cast in favour of the resolution and are included in the total of those votes for.
3) A certified copy of the resolution has been submitted to the National Storage Mechanism and will shortly be available for inspection at: www.morningstar.co.uk/UK/nsm
4) A 'vote withheld' is not a vote in law and is not counted in the calculation of the proportion of votes validly cast.
