Publication and Posting of Shareholder Circular

Further to the announcement made earlier today regarding the series of five proposed guarantees to be provided by Petropavlovsk in respect of the obligations of LLC K&S under two facility agreements with Gazprombank, Petropavlovsk announces that the shareholder circular (the "Circular") relating to the provision of the guarantees (the "Transaction") has been approved by the Financial Conduct Authority.

Copies of the Circular will be posted to Petropavlovsk's shareholders by no later than 15 February 2019. The Transaction is subject to the approval of Petropavlovsk's shareholders, and accordingly, the Circular contains a notice convening a general meeting of Petropavlovsk's shareholders, which is to be held at 10.30 a.m. on Tuesday 12 March 2019 at the offices of Buchanan Communications, 107 Cheapside, London, EC2V 6DN. Shareholders may appoint a proxy by completing the form of proxy enclosed with the Circular. Alternatively, proxy appointments may be completed electronically. The procedures and timings for the appointment of a proxy are set out in the notes to the notice of the general meeting at the back of the Circular.

The Circular will be made available on Petropavlovsk's website www.petropavlovsk.net and will be submitted to the National Storage Mechanism, where it will be available for inspection at www.morningstar.co.uk/uk/NSM.

To the extent not otherwise defined, capitalised terms used in this announcement have the same meaning given to them in the announcement made by Petropavlovsk earlier today.
